Your Role and Impact

Reporting to the General Counsel, you will lead the legal team’s efforts in contracting, which includes building out new channels and working cross-functionally. As Associate General Counsel, you will manage one contracts paralegal, as well as any future attorneys and paralegals supporting commercial efforts. This role is critical to ensuring the business success of a rapidly growing, healthcare technology startup.

 

Responsibilities

  • Provide legal and strategic business advice to develop a comprehensive, long-term approach with our key commercial customers
  • Advise commercial team on pricing strategies and compliance with Anti-Kickback, Stark Law, fee-splitting laws, ERISA, the Affordable Care Act and a range of other laws affecting employee benefits, health plans and other potential channels
  • Negotiate a wide range of commercial agreements with customers, including master services agreements and statements of work, subscription agreements, etc., and establish partnerships with ancillary partners
  • Advise on risks and liabilities of proposed commercial transactions and devise creative and practical legal solutions to meet business objectives
  • Refine our contracting process for new lines of commercial customers and partnerships
  • Oversee and implement process improvements for managing contracts with SaaS vendors and partners, research agreements and independent contractor agreements
  • Develop form agreements and contracting best practices to ensure uniformity across the legal team, including establishing negotiation principles and standard contracting positions
  • Keep informed of applicable laws, regulations and industry guidance that impact commercial agreements 
  • Provide advice and guidance on future product developments and protection of intellectual property
  • Collaborate with contracts paralegal and internal stakeholders, such as sales, security and privacy, to design and implement contracts team process improvements

Qualifications

  • JD and licensed to practice law in at least one state
  • Ten or more years of relevant experience 
  • Experience drafting and negotiating commercial agreements
  • Experience working with healthcare institutions, insurers or benefits within large employers
  • At least two years of in-house experience preferred
  • Experience working within a technology company preferred
