This role allows you to work from anywhere you choose across the U.S. (excluding U.S. territories), with the flexibility to work from the Seattle HQ office as often as you’d like. Please note that no matter where you are located, all employees should be available during our core working hours from 10 am to 4 pm PT Monday through Friday.

Your Role and Impact

Reporting to the Associate General Counsel, you will support the Legal team’s efforts in contracting, including the build-out of new channels and opportunities.  You will drive this work in partnership with other members of the Contract team and cross-functionally with key stakeholders in commercial, product and finance. This role is critical to ensuring the business success of a rapidly growing, healthcare technology startup. 

Responsibilities

  • Advise on risks and liabilities of proposed commercial transactions and devise creative and practical legal solutions to meet business objectives
  • Negotiate commercial agreements with customers, including master services agreements and statements of work
  • Identify opportunities for templates; draft and participate in template creation 
  • Track and assert the company’s preferred position on contract terms and conditions
  • Educate contract stakeholders on risk spectrum of non-standard contract terms and conditions
  • Draft internal guidance documents and train employees on key issues
  • Keep informed of applicable laws, regulations and industry guidance that impact commercial agreements 
  • Advise commercial team on pricing strategies and compliance with Anti-Kickback, Stark Law, fee-splitting laws, ERISA, the Affordable Care Act and a range of other laws affecting employee benefits, health plans, laboratories and other potential channels
  • Support the evaluation of new business opportunities and regulatory implications at federal and state level, including insurance regulations, consumer protection regulations and other issues within the healthcare landscape
  • Advise company on privacy laws, including but not limited to HIPAA, CCPA and GDPR, where they intersect with commercial and vendor contracts

Qualifications

  • JD and licensed to practice law in at least one state
  • 3+ years of relevant experience 
  • At least one year of in-house experience preferred
  • Experience drafting and negotiating commercial agreements
  • Experience working within a technology company preferred
  • Experience working with healthcare institutions, insurers or benefits within large employers preferred
