EagleView is looking for a Corporate Counsel to become a key member of the Legal team and driver of critical department initiatives. The ideal candidate brings well-rounded legal skills, with an emphasis on commercial contract negotiation and IP/licensing, strong business instincts and judgement, and eagerness to tackle complex problems and implement process improvements. Specific responsibilities include: 
Primary Responsibilities

  • Review, draft (from forms and from scratch) and negotiate a broad range of commercial contracts, including sales and procurement contracts, master services agreements, independent contractor agreements, statements of work, technology-related IP licenses, and supporting documents in support of EagleView's business teams. Client engagement and counsel on a variety of commercial and corporate governance activities
  • Engage in cross-functional collaboration and decision-making across all EagleView departments, especially Sales, Product, Finance, Operations and Human Resources
  • Improve and implement EagleView's contracting processes in collaboration with the Legal, Product, IT, Sales and Finance departments and articulate those processes to customers, vendors, and key stakeholders to ensure frictionless implementation 
  • Partner with the business on contract negotiations to produce value-maximizing results while providing appropriate risk-management guardrails
  • Other duties as required

 

  • J.D. degree with 4-7 years of commercial contracts and general corporate experience
  • Combination of major law firm training and in-house experience preferred
  • Experience with drafting and negotiating commercial contracts, including procurement and service agreements, technology-related IP licenses and similar documents
  • Solid understanding of IP fundamentals 
  • Ability to lead transactions and projects, with strong multi-tasking, analytical, interpersonal, drafting, negotiation and communication skills
  • Excellent organizational and project-management skills with the ability to balance competing priorities across the business and relentlessly drive projects to results
  • Practical and business-minded with a positive, enthusiastic, "can do" attitude
  • Proven dedication to teamwork, collaboration and integrity in a fast-paced, demanding environment
  • Experience implementing a contract lifecycle management tool a plus
  • Data privacy and IT security experience a plus
