Role Description

Givebutter is hiring a Commercial & Product Counsel to own Givebutter's commercial contracting function and serve as a trusted legal partner to teams across the company. You will be the first lawyer our cross-functional teams turn to on a daily basis, and you will have the autonomy to run the contracting motion end-to-end. Your work directly enables the General Counsel to shift from day-to-day tactical execution to strategic leadership, so your ability to operate independently and at speed is the single most important quality we're looking for.

The Legal team at Givebutter manages a steady flow of vendor agreements, customer contracts, partnership deals, and product questions that need sharp legal judgment, fast.

This is a high-ownership role. You will build and refine the playbooks, templates, and workflows that define how Givebutter contracts. You will counsel product teams on legal risk before features ship. You will negotiate deals that protect our reputation with the nonprofits who trust us. And you will do all of it using modern tools, including AI-powered contract review and agentic workflows, because we believe legal teams should build leverage through technology, not headcount.

We want to hear from people who…

  • Have deep commercial contracting experience: you've negotiated hundreds of agreements across SaaS, vendor, customer, and data processing contexts, and you can do it quickly without sacrificing quality

  • Have built contracting processes from scratch: templates, playbooks, fallback language, approval workflows, self-serve tools. You've done it before, and you can stand it up overnight if needed

  • Have hands-on experience with AI tools for legal work: you've used AI-powered contract review, AI agents, or agentic workflows in practice (not just read about them), and you have opinions about what works

  • Have strong product counseling skills: you can spot the legal issue in a product spec, explain the risk in plain language, and propose a path forward that doesn't kill the feature

  • Can operate independently at high speed: you don't need to be told what to do next, you manage your own queue, and you exercise sound judgment about when to escalate

  • Communicate clearly and directly with non-legal stakeholders: sales, PDE, finance, operations, people, and leadership

  • Understand that reputation is everything for a platform that nonprofits trust with their fundraising, and you factor that into every decision

Responsibilities

Commercial Contracting (Primary Focus)

  • First-chair all inbound vendor agreements: negotiate, redline, and close contracts with technology vendors, service providers, data processors, and other third parties across the full range of agreement types (SaaS, DPAs, NDAs, professional services, licensing)

  • First-chair all outbound customer and sales contracts: own the contracting process for Givebutter's revenue-generating agreements, including enterprise customer terms and service agreements

  • Build the contracting infrastructure: develop and maintain templates, playbooks, fallback positions, and self-serve tools that enable operations and sales teams to move faster with less legal bottleneck

  • Implement and optimize AI-powered legal workflows: use AI tools, AI agents, and agentic workflows for contract review, clause analysis, and negotiation support; continuously iterate on the legal ops tech stack to maximize throughput without sacrificing quality

  • Manage contract lifecycle: own the process from intake through execution, including tracking obligations, renewal dates, and key terms across the portfolio

Partnerships

  • Second-chair partnership agreements: support the General Counsel on strategic partnerships, including payment processor relationships, platform integrations, and channel partnerships

  • Draft and negotiate ancillary partnership documents: handle the supporting agreements, amendments, and operational terms that flow from partnership relationships

Product Counseling & Compliance Support

  • Serve as day-to-day legal advisor to the product team: help drive our Product Roadmap by affirmatively suggesting opportunities for expansion and advise Product, Design & Engineering (PDE) on compliance-by-design for new features, payment flows, and data practices

  • Support the General Counsel and Security & Compliance Manager on compliance matters: assist with regulatory filings, licensing questions, privacy compliance, and consumer protection issues as they arise

  • Advise on marketing and commercial claims: review marketing materials, competitive positioning, and customer-facing disclosures for legal risk

Corporate & General Support

  • Support the General Counsel on corporate work: assist with corporate governance, equity matters, and board-level projects as needed

  • Support claims and disputes: help manage claims, demand letters, and escalated customer disputes under the General Counsel's direction

  • Contribute to legal team development: help build the processes, documentation, and institutional knowledge that will scale with Givebutter's growth

Requirements

  • A J.D. and active bar membership in at least one US jurisdiction

  • 5–7 years of legal experience, with meaningful time spent in-house at a growth-stage fintech company (experience at a payments company or fundraising platform strongly preferred)

  • High-volume commercial contracting execution

  • Contracting systems & infrastructure buildout

  • Product counseling in a high growth, tech environment

  • Applied use of legal technology and AI tools

  2. Hiring Manager Interview: A deeper dive into your relevant experience, skillset, and working style. This is your first opportunity to connect directly with the person who may be your future manager.

  3. Assessment (technical or non-technical): This stage will vary based on the role. It could involve a live coding session, case study, or take-home project. Some roles may include two parts to this stage to evaluate both practical skills and problem-solving approaches
