ON.energy is seeking a Contracts Counsel to review and negotiate supply chain contracts, sales contracts, and related commercial agreements, as well as provide project execution support across our energy storage, power infrastructure, and data center energy solutions. This role centers on drafting, reviewing, and negotiating a high volume of commercial agreements with suppliers, equipment vendors, contractors, customers, and project partners. The Contracts Counsel will work closely with procurement, supply chain, sales, and project execution teams to move contracts efficiently from intake through signature and through execution while identifying and managing commercial and legal risk together with managing counsel.

Complex Contract Negotiation

Lead negotiation and drafting of sophisticated agreements, including:

  • Energy storage project agreements

  • Power purchase agreements (PPAs)

  • Energy services agreements (ESAs)

  • Data center energy supply agreements

  • Engineering, Procurement & Construction (EPC) contracts

  • Equipment supply and technology licensing agreements

  • Interconnection and grid services agreements

  • Joint development and partnership agreements

  • Vendor and procurement contracts

Project Execution Support

Support project teams through the execution phase of active contracts, including:

  • Draft, review, and negotiate change orders, contract amendments, and scope adjustments

  • Advise project teams on contract interpretation, rights, and obligations as work progresses

  • Prepare and respond to notices, claims, and requests for equitable adjustment

  • Track key deliverables, milestones, and deadlines through project close-out

  • Escalate and help resolve commercial disputes arising during project delivery

Contract Lifecycle & Process Optimization
  • Oversee the company's contract lifecycle management systems and processes

  • Develop standardized contract templates for recurring agreements

  • Improve efficiency in contract negotiation and execution across the organization

  • Develop internal frameworks for contract approval, risk review, and governance

Cross-Functional Leadership
  • Partner with development, engineering, finance, procurement, and commercial teams

  • Provide legal training and guidance across the organization on contracting and risk management

Qualifications
  • Juris Doctor (JD) from an accredited law school

  • Licensed to practice law in at least one U.S. jurisdiction

  • 5+ years of legal experience at a law firm or in a relevant industry, with a focus on contract review and negotiation

  • Experience in the energy, power infrastructure, construction, or supply chain sectors

  • Demonstrated experience drafting and negotiating complex commercial contracts

  • Prior law firm or in-house experience supporting supply chain or energy contracts preferred
