About the Role:

WEX is seeking a dynamic and business-minded Legal Counsel to join our Commercial Americas team. In this role, you will be a key strategic partner to our rapidly growing Corporate Payments business. You will provide expert legal guidance on a wide range of matters, from complex commercial transactions and innovative product development to strategic partnerships. This is an exciting opportunity for an agile attorney who thrives in a fast-paced environment and is passionate about shaping the future of the payments and financial services industry.

What You'll Do:

  • Drive Commercial Success: Structure, draft, and negotiate a diverse portfolio of commercial agreements, including customer credit and card program agreements, technology and partnership contracts, and vendor service agreements. You will also provide crucial legal support for RFP responses and pre-litigation commercial disputes.

  • Innovate and Advise on Products: Serve as the lead legal partner for the entire product lifecycle. You will provide solution-oriented advice from initial development to launch and commercialization, drafting critical documents like API terms, website terms of service, and user agreements for new features.

  • Manage Risk and Ensure Compliance: Proactively identify, analyze, and mitigate legal and business risks. You will ensure all agreements and business activities adhere to corporate policies and legal standards, and you will play a role in M&A due diligence and business integration.

  • Build and Optimize: Enhance the legal team's efficiency by building and maintaining best-in-class processes for commercial contracting, including developing templates, negotiation playbooks, and improving workflows with systems like our contract lifecycle management (CLM).

  • Collaborate and Lead: Act as a trusted advisor to internal stakeholders in sales, operations, and product teams. You will collaborate closely with other members of the legal department and effectively manage outside counsel to deliver comprehensive and practical legal solutions.

What You'll Bring:

Required Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.

  • Active membership in good standing with at least one U.S. State Bar.

  • 5+ years of legal experience as a practicing attorney, either in-house or at a law firm.

  • Significant experience drafting, reviewing, and negotiating complex commercial agreements.

  • Excellent verbal and written communication skills, with an ability to explain complex legal issues to non-lawyers.

  • Proficiency with Microsoft Office and Google Suite.

Preferred Qualifications:

  • In-house legal experience within the payments, fintech, or financial services industries.

  • Experience advising on product development lifecycles and technology transactions.

  • Familiarity with contract lifecycle management (CLM) and matter management systems.

  • Demonstrated ability to manage multiple high-priority projects and thrive in a fast-paced, collaborative environment.

The WEX Mindset: How You'll Succeed

We are looking for a candidate who embodies our core values and leadership expectations.

  • You are a Bridge Builder: You seek to understand diverse perspectives, challenge the status quo, and collaborate across teams to achieve shared success.

  • You are a Talent Multiplier: You empower others, provide constructive coaching, and celebrate collective wins.

  • You Inspire High Standards: You are empathetic yet accountable, delivering on your commitments with integrity and clarity.

  • You are a Positive Force: You approach challenges with a proactive, solution-oriented mindset and are committed to continuous improvement for yourself and the team.
