About Emerald AI

We’re at a pivotal moment for AI and energy. Demand for compute is skyrocketing, but power constraints are becoming a critical bottleneck. Emerald AI sits at the intersection of these two worlds, enabling AI data centers to scale without overwhelming the grid.

Our Emerald Conductor software platform makes data centers flexible and responsive, allowing them to adjust power usage dynamically. This unlocks massive AI growth without major new infrastructure, while also strengthening the grid and supporting the expansion of renewable energy.

We’re a team of experts across AI, cloud, software, and energy—on a mission to scale AI sustainably. We’re backed by leading investors and partners including Radical Ventures and NVIDIA.

About the Role

We’re looking for a Senior Corporate Counsel to support a broad range of legal matters across the company, partnering closely with teams across business, product, engineering, and leadership. You’ll play a key role in enabling day-to-day operational activities - providing timely, practical legal guidance while helping the company move quickly and responsibly.

This is a highly cross-functional role where you’ll be embedded in the business, not operating as a back-office function. You’ll lead and support a broad range of commercial and strategic transactions, including customer, vendor, partnership, data center, and energy-related agreements. You’ll work closely with our commercial and technical teams to structure deals, assess risk, and help the company move quickly and responsibly. At the same time, you’ll help build the foundational processes, templates, and systems that allow legal to scale alongside the company.

Key Responsibilities
  • Draft, review, and negotiate customer, vendor, and partnership agreements

  • Draft, review, and negotiate commercial agreements across the data center and energy ecosystem, including (not limited to) SaaS, customer, vendor, partnership, utility, interconnection, and energy services agreements.

  • Develop templates and playbooks to streamline contracting and transactional activities

  • Advise on product, data usage, privacy, and IP-related matters

  • Partner with engineering, commercial, and product teams to identify and manage legal risks

  • Identify legal and regulatory considerations relevant to commercial transactions, product development, and company operations.

  • Assist with corporate governance, entity management, and internal policies

  • Help build internal legal processes that improve speed and consistency

  • Report to Head of Legal and Policy

Minimum requirements
  • JD and active bar membership in at least one U.S. jurisdiction

  • 6 - 10 years of legal experience with a strong preference for experience spanning both a leading law firm and an in-house legal team.

  • Deep experience drafting, negotiating, and structuring commercial agreements, including complex and strategic transactions

  • Hands-on experience with data center transactions or the broader data center ecosystem, including experience at or advising data center operators, neoclouds, hyperscalers, energy technology companies, or related businesses.

  • Experience working cross-functionally with business, technical, and executive teams

  • Strong business judgment and ability to assess legal and commercial risk, make pragmatic recommendations, and help teams reach decisions effectively.

Preferred requirements
  • Experience with utility, interconnection, energy services, or other energy-related agreements

  • Experience with energy technology, AI/ML, cloud or infrastructure-related companies

  • Exposure to regulated industries (e.g., energy)

What We Offer
  • Make an impact. Solve the AI power bottleneck and shape how data centers scale sustainably.

  • Join a world-class team of AI, cloud, software, and energy experts in a collaborative, low-ego environment.

  • Build from 0→1. Influence strategy, GTM, org design, and customer/investor engagement from day one.

  • Competitive pay + equity. Stock options let you share in the value you help create.

  • Comprehensive benefits, including medical, dental, vision, and 401(k) matching.

  • Flexible location. Work from D.C., Boston, or the Bay Area, with 2 WFH day/week.

  • Backed by top investors, including Radical Ventures and NVIDIA.

What you need to know about the Seattle Tech Scene

Home to tech titans like Microsoft and Amazon, Seattle punches far above its weight in innovation. But its surrounding mountains, sprinkled with world-famous hiking trails and climbing routes, make the city a destination for outdoorsy types as well. Established as a logging town before shifting to shipbuilding and logistics, the Emerald City is now known for its contributions to aerospace, software, biotech and cloud computing. And its status as a thriving tech ecosystem is attracting out-of-town companies looking to establish new tech and engineering hubs.

Key Facts About Seattle Tech

  • Number of Tech Workers: 287,000; 13% of overall workforce (2024 CompTIA survey)
  • Major Tech Employers: Amazon, Microsoft, Meta, Google
  • Key Industries: Artificial intelligence, cloud computing, software, biotechnology, game development
  • Funding Landscape: $3.1 billion in venture capital funding in 2024 (Pitchbook)
  • Notable Investors: Madrona, Fuse, Tola, Maveron
  • Research Centers and Universities: University of Washington, Seattle University, Seattle Pacific University, Allen Institute for Brain Science, Bill & Melinda Gates Foundation, Seattle Children’s Research Institute
