The TAS team supports private equity sponsors, lenders and corporates with financial, tax and operational diligence across Mergers & Acquisitions (M&A) and corporate actions. The Senior Director, TAS Tax Reporting and Readiness role represents a unique opportunity to assume a wide range of responsibilities and make a significant impact. This Senior Director will serve private equity, direct lenders and corporate clients by helping them navigate transaction-related tax accounting matters, post-close integration, audit support, sell-side and IPO readiness, carve-out issues and tax function support. The Senior Director will report directly to the TAS practice line leader and advise clients on issues related to tax reporting, tax operations and tax governance in connection with transactions, transformation and readiness events. This person will lead key initiatives, manage discrete workstreams and work closely with senior leaders across the firm. Responsibilities

  • Advise clients on tax reporting and transaction-related tax accounting matters arising from acquisitions, divestitures, carve-outs, restructurings, IPO readiness efforts and other corporate actions
  • Support clients with post-close integration of tax reporting processes, tax balances, tax attributes and related workstreams
  • Assist clients and engagement teams with carve-out tax reporting, separation issues and opening balance sheet considerations
  • Support audit readiness and auditor interaction with respect to transaction-related tax accounting issues, tax balances and related documentation
  • Assist clients with sell-side readiness and IPO readiness by identifying and helping address tax reporting, process, governance and documentation gaps that may affect diligence, audit, or transaction execution
  • Evaluate and improve tax reporting processes, close calendars, controls, governance frameworks and interaction models with incumbent tax preparers and auditors
  • Develop practical recommendations regarding tax data needs, reporting packs, account mapping and tax-sensitive close process design
  • Assess and support redesign of tax function roles, responsibilities, workflow and interaction models within finance organizations, including coordination with shared services, external preparers and auditors
  • Support tax function assessments and related advisory work concerning tax operating model, governance, readiness and process design
  • Review and analyze tax aspects of financial models, purchase agreements, transaction structures and related accounting conclusions
  • Draft clear, concise, client-ready reports, memoranda and presentations summarizing tax accounting issues, risks, observations and recommendations
  • Work with transaction tax, restructuring, PI and OCFO team members to integrate tax reporting, readiness and tax-operating-model considerations into broader advisory engagements
  • Provide coaching and mentorship to junior team members
  • Lead business development and client relationship efforts
  • Lead internal trainings and best practice sharing
  • Lead talent acquisition and firm-building initiatives

Qualifications

  • Bachelor’s degree (preferably in Accounting) from a top undergraduate program; Master’s in Taxation or LLM is preferred
  • Active Certified Public Accountant (CPA) license is required
  • Located in or willing to relocate to Chicago, Dallas, Los Angeles, Nashville, New York or Philadelphia
  • Invested in a team-based culture motivated to collaborate in office four days per week and willing to work at client sites as needed 
  • 10 plus years of relevant tax experience, including tax reporting and transaction-related tax accounting matters
  • Strong knowledge of ASC 740, tax reporting implications of transactions, tax attributes, reserves and tax balance sheet matters
  • Experience supporting audits, managing auditor requests and navigating close process and reporting issues
  • Public accounting tax experience preferred, with exposure to tax provision, compliance and tax accounting matters
  • In-house corporate tax experience preferred; candidates without in-house experience should demonstrate a strong understanding of corporate tax department operations, including close process, governance, auditor interaction and coordination with external preparers
  • Experience with post-close integration, carve-outs, sell-side readiness, IPO readiness, tax function assessments, tax process/governance design, or tax operating model support strongly preferred
  • Experience supporting sponsor-backed or private equity-backed companies preferred, including familiarity with fast-paced reporting and transaction environments
  • Advanced analytical and problem-solving skills, with the ability to synthesize complex information into actionable insights and strategies
  • Advanced Excel and data modeling capabilities, including large-scale data management and reporting
  • Superior written and verbal communication skills, including executive-ready presentation and reporting skills
  • Proven ability to thrive in lean, fast-moving teams 
  • High attention to detail, responsiveness and ownership mindset 
  • Track record of success in high-pressure, client-facing environments
