Evaluate SaaS metrics, customer cohorts, P&L, balance sheets, working capital, and accounting data; build pro forma statements and financial models; support integration and investor reporting; and supervise analysts while collaborating with executives and cross-functional teams.

We are seeking a Senior M&A Financial Analyst to join our Diligence team for acquisition and post-acquisition analysis. Reporting to Investment Managers and indirectly to Embrace's CEO, this role is pivotal, offering high growth and visibility. It involves collaboration with acquired companies' CEOs and CFOs. Responsibilities include assessing, analyzing, and executing software-focused M&A deals, emphasizing software-specific KPIs, financial metrics, cohort analysis, P&L proficiency, bank reconciliation, and accounting expertise.
Responsibilities
- Perform financial analysis, due diligence, and risk assessment for potential M&A opportunities, including financial modeling, valuation, and assessment of target companies using complex datasets.
- Evaluate software revenue streams, user engagement metrics, and SaaS performance to analyze customer cohorts and trends.
- Conduct comprehensive P&L, BS analysis, assess AR, AP reports, and develop proforma financial statements for acquisitions, emphasizing cost savings and revenue growth.
- Execute bank reconciliations, evaluate accounting elements, and assess software integration complexities with a focus on cohort-specific strategies.
- Prepare reports and presentations summarizing due diligence findings for effective communication.
- Supervise and provide guidance and coaching in reviewing and managing the work of a team of analysts.
- Collaborate with cross-functional teams (Accounting, operations, business development) to assess strategic fit and potential synergies in M&A transactions.
- Monitor ongoing M&A transactions, oversee post-acquisition integration activities, and monitor performance.
- Contribute to refining financial models, tools, and templates to improve the accuracy and efficiency of financial analysis.
- Prepare Periodic investor reporting.
- Participate in ad-hoc projects as required.
Requirements
- Bachelor’s degree in Finance, Accounting, Business, or related field; MBA or CFA is a plus.
- Minimum of 4 years of experience in financial analysis and M&A within a dynamic business environment.
- Strong proficiency in financial modeling, valuation techniques, due diligence processes, cohort analysis, bank reconciliation, and accounting principles.
- Exceptional analytical and problem-solving skills with a keen attention to detail and accuracy.
- Outstanding communication and presentation skills, demonstrating the ability to convey complex financial information to non-financial stakeholders.
- Proven ability to collaborate effectively in cross-functional teams, excelling in multitasking within a fast-paced and dynamic environment.
