We are seeking a Senior Commercial Contracting and Operations Manager to own the full lifecycle of commercial contracting at HeroDevs while flexing into the broader legal operations that keep the business moving. You will collaborate closely with internal teams, including Sales, Channel & Alliances, Marketing, Operations, and Engineering, and work directly with senior leadership to provide strategic guidance across both revenue and non-revenue based contracts.

Key Responsibilities

  • Lead deal design conversations for complex and unique use-cases, partnering with Sales and go-to-market teams to structure creative, compliant commercial agreements.
  • Draft, review, and negotiate various contracts, including services, consulting, marketing, licensing, non-disclosure, data privacy, and other commercial and technology-related agreements.
  • Conduct risk analysis of contractual terms and recommend mitigating strategies.
  • Partner with the SVP of Channel & Alliances on the legal structure of channel, partner, and reseller relationships.
  • Assist in the development and improvement of standardized contract templates, processes, and playbooks.
  • Assist in developing vendor templates and terms to standardize and streamline buy-side agreements.
  • Develop legal processes that scale with the business, building repeatable workflows that support growth without adding friction.
  • Build and maintain a “Legal Calendar” to track key contract dates, renewals, obligations, and deadlines across the business.
  • Collaborate with Sales team members and leadership to provide guidance on contract terms and negotiation strategies.
  • Ensure compliance with data privacy and regulatory requirements in contractual agreements.
  • Work closely with the Chief Operating Officer and legal counsel on complex transactions and escalations.
  • Support internal training initiatives by contributing to educational materials for stakeholders involved in the contracting process.

Qualifications

  • Minimum 5+ years of experience in drafting, reviewing, and negotiating commercial contracts in a software technology company or a similar industry, including revenue-generating agreements.
  • Experience leading deal design or deal desk conversations and structuring complex, non-standard commercial transactions.
  • Demonstrated ability to build and scale legal operations—processes, templates, playbooks, and calendars—in a growing business.
  • BA/BS degree required; JD, paralegal certificate, or equivalent work experience preferred.
  • Strong understanding of technology-related agreements and data privacy requirements.
  • Excellent contract risk assessment skills with the ability to provide strategic recommendations.
  • Ability to manage multiple priorities in a fast-paced, dynamic environment.
  • Strong interpersonal skills with the ability to collaborate across departments and provide practical business-oriented solutions.
  • Detail-oriented, proactive, and self-motivated, with strong problem-solving skills.
  • Superior communication and analytical skills, with experience in project management preferred.
  • Experience with open-source software and subscription based offerings is a plus.

What you need to know about the Seattle Tech Scene

Home to tech titans like Microsoft and Amazon, Seattle punches far above its weight in innovation. But its surrounding mountains, sprinkled with world-famous hiking trails and climbing routes, make the city a destination for outdoorsy types as well. Established as a logging town before shifting to shipbuilding and logistics, the Emerald City is now known for its contributions to aerospace, software, biotech and cloud computing. And its status as a thriving tech ecosystem is attracting out-of-town companies looking to establish new tech and engineering hubs.

Key Facts About Seattle Tech

  • Number of Tech Workers: 287,000; 13% of overall workforce (2024 CompTIA survey)
  • Major Tech Employers: Amazon, Microsoft, Meta, Google
  • Key Industries: Artificial intelligence, cloud computing, software, biotechnology, game development
  • Funding Landscape: $3.1 billion in venture capital funding in 2024 (Pitchbook)
  • Notable Investors: Madrona, Fuse, Tola, Maveron
  • Research Centers and Universities: University of Washington, Seattle University, Seattle Pacific University, Allen Institute for Brain Science, Bill & Melinda Gates Foundation, Seattle Children’s Research Institute
