Job Summary:

As a Transaction Senior Manager, you will lead tax advisory services for mergers, acquisitions, divestitures, reorganizations, and other strategic transactions while collaborating closely with partners, engagement teams, and clients. You will serve as a senior lead on complex engagements — planning and managing all phases of work, advising clients on structuring and tax implications, and ensuring high-quality delivery throughout.

Our professionals have one goal when working with clients — to help them make smart, tax-efficient decisions while maintaining compliance with ever-changing tax laws. You will leverage deep technical tax knowledge and strong project leadership to deliver solutions that maximize value for clients and drive continued growth of the practice.

Duties & Responsibilities:

  • Lead and manage complex tax advisory engagements across the full transaction lifecycle, including planning, tax due diligence, structuring advice, and execution support.
  • Advise clients on federal, state, and (where applicable) international tax implications of transactions such as acquisitions, divestitures, mergers, and reorganizations.
  • Develop and deliver high-level tax structuring recommendations, financial impact analyses, and risk mitigation strategies that align with client business objectives.
  • Serve as a senior point of contact for clients, building trusted relationships and presenting complex tax concepts clearly to executive audiences.
  • Oversee engagement budgets, timelines, resource allocation, deliverable quality, billing, and collections.
  • Coordinate with cross-functional teams (e.g., valuation, accounting, finance, legal) to ensure seamless service delivery.
  • Supervise, mentor, and develop managers, senior associates, and staff to ensure technical excellence and professional growth.
  • Support business development efforts, including proposal preparation, client presentations, and networking at industry events.

Education & Experience:

  • A Bachelor’s degree and/or Master’s degree in Accounting.
  • Active CPA license required.
  • 8+ years of progressive public accounting experience with a focus on tax and transactions.
  • Demonstrated expertise in tax due diligence, structuring advice, and transaction-related tax compliance.
  • Proven track record leading teams and managing complex client engagements.
  • Strong technical tax knowledge across federal and multi-state issues; experience with international tax is a plus.
  • Exceptional analytical and problem-solving skills.
  • Strong communication and client presentation abilities.
  • Excellent project and time management skills, with ability to manage multiple priorities effectively.
  • Ability to build and maintain confident client relationships.
  • Team leadership, mentorship, and staff development orientation.
  • Proficiency in tax preparation software (e.g, CCH Axcess) and Microsoft Office Suite

What you need to know about the Seattle Tech Scene

Home to tech titans like Microsoft and Amazon, Seattle punches far above its weight in innovation. But its surrounding mountains, sprinkled with world-famous hiking trails and climbing routes, make the city a destination for outdoorsy types as well. Established as a logging town before shifting to shipbuilding and logistics, the Emerald City is now known for its contributions to aerospace, software, biotech and cloud computing. And its status as a thriving tech ecosystem is attracting out-of-town companies looking to establish new tech and engineering hubs.

Key Facts About Seattle Tech

  • Number of Tech Workers: 287,000; 13% of overall workforce (2024 CompTIA survey)
  • Major Tech Employers: Amazon, Microsoft, Meta, Google
  • Key Industries: Artificial intelligence, cloud computing, software, biotechnology, game development
  • Funding Landscape: $3.1 billion in venture capital funding in 2024 (Pitchbook)
  • Notable Investors: Madrona, Fuse, Tola, Maveron
  • Research Centers and Universities: University of Washington, Seattle University, Seattle Pacific University, Allen Institute for Brain Science, Bill & Melinda Gates Foundation, Seattle Children’s Research Institute
