Wells Fargo is seeking a Senior Counsel (Senior AVP) to support its Commercial Banking Specialized Industries group. This team covers a broad range of sectors-including healthcare, sports, gaming, technology, franchise, food & beverage, agribusiness, government, and more.
These industries are examples of the group's coverage; candidates are not expected to have experience in all areas. We're seeking attorneys with solid lending or transactional experience, ideally with exposure to one or more relevant sectors and the ability to work across a range of industries.
In this role, you'll advise on bilateral and syndicated secured lending transactions and partner with business and functional teams to provide practical legal and strategic guidance.

Salary is just one component of Wells Fargo's total rewards package. Depending on the role, a Wells Fargo's employee may be eligible for additional forms of compensation, such as sales incentives, discretionary bonuses, and/or equity in the company in the form of Restricted Stock Units (RSUs).

In this role, you will:
- Draft complex legal documents, review and negotiate documents prepared by outside counsel
- Provide guidance to internal clients on legal matters to assist with legal risk assessment, planning and policy decisions, claims against the Company, probability of loss, and develop cost-effective risk mitigation strategies
- Lead or participate in moderately complex initiatives and deliverables and contribute to large-scale planning
- Provide legal advice and represent the Company in highly complex transactions, negotiations, settlement discussions, and claims related legal issues
- Review and analyze moderately complex challenges that require an in-depth evaluation of variable factors
- Independently resolve moderately complex issues and lead team to meet deliverables
- Identify and analyze complex legal issues, develop conclusions, and make recommendations for issue resolution
- Develop the strategic direction for certain claims functions and management of related policies, procedures, and controls to mitigate risk
- Educate, train, and supervise less experienced attorneys within the Legal department
- Collaborate with peers, colleagues, and mid-level managers to resolve issues and achieve goals
- Lead projects, teams, or serve as a mentor for less experienced staff
- Work directly with business clients and develop an in-depth understanding of business unit activities and products
- Partner with business leaders and management of other corporate departments to develop and implement risk management programs
- 4+ years of Law experience, or equivalent demonstrated through one or a combination of the following: work experience, training, military experience, education
- Active State Bar membership or the equivalent in a country outside the United States
- Experience practicing as an attorney advising on lending and transactional matters
- Secured lending experience, including cash flow loans, term loans, and syndicated facilities
- Working knowledge of UCC Article 9 and related collateral structures
- Real estate-secured transactions experience
- Broad transactional experience, including negotiating commercial agreements (e.g., supply chain or vendor contracts)
