Our Tax Transaction Advisory Services practice evaluates, structures, and performs tax due diligence for our clients’ M&A transactions. As a Director, you will lead and manage buyside and sellside tax due diligence, structuring, and execution for private equity and corporate clients. You will serve as a trusted advisor to deal teams, delivering technical tax insights and commercially actionable recommendations throughout the transaction lifecycle. You will have the opportunity to work on highprofile transactions with leading private equity and corporate clients. This is a hybrid position.

Day-to-day responsibilities:
  • Lead tax due diligence engagements across federal, state, and international tax matters
  • Advise on transaction structuring (asset vs. stock, legal entity structuring, tax modeling) Identify tax risks, exposures, and opportunities; quantify impacts
  • Review purchase agreements and negotiate tax-related provisions
  • Manage client relationships and serve as primary point of contact
  • Mentor and develop team members; oversee engagement execution
  • Collaborate with cross-functional deal teams (legal, accounting, finance)
  • Support business development, including proposals and pitch meetings
  • Drive revenue growth through sale of pull-through work and expansion of client relationships across all areas of Kroll.
  • Assist with new client relationship development and acquisition.
Essential Traits: 
  • Bachelor’s degree in Accounting, Finance, or related field; CPA, JD, or MST preferred
  • 8–12+ years of relevant corporate tax and/or M&A tax experience
  • Strong technical knowledge of U.S. federal income tax; state and international exposure preferred
  • Experience with private equity transactions strongly preferred
  • Demonstrated leadership and project management skills
  • Strong written and verbal communication skills
Preferred Experience:
  • Prior experience in Big 4, national accounting firm, law firm or consulting environment
  • Experience with tax modeling and structuring complex transactions
  • Familiarity with Section 382, 338(h)(10), 336(e), and partnership transactions (Sec. 754, 704(c), and 743(b))

Salary range for this role is $125,000 - $250,000 USD
