Join the Bankruptcy & Restructuring Legal Team to support the Commercial and Investment Bank in connection with federal and state insolvency proceedings, out of court restructurings and all bank products impacted by financial distress of borrowers/clients.  You’ll work side-by-side with senior legal and business leaders to devise strategies and pragmatic solutions in a variety of workout situations.  This role offers meaningful visibility, broad collaboration across the Legal department on insolvency related projects, and the opportunity to educate and advise the business regarding lessons learned and future risk prevention.

As a member of the Bankruptcy & Restructuring Legal Team within the Commercial and Investment Bank, you will support federal and state insolvency proceedings, out of court restructurings and all bank products impacted by financial distress of borrowers/clients.

Job responsibilities:

  • Advise Special Credits and other business partners regarding out of court restructurings, liability management transactions, restructuring support agreements, cooperation agreements, forbearance arrangements, waivers and reservations of rights notices.
  • Oversee court proceedings under the Federal Bankruptcy Code, including with respect to cash management arrangements, debtor in possession financings, automatic stay related issues, asset sales, plan confirmation, liquidation related issues, avoidance actions and proofs of claim.
  • Provide counsel on cross border insolvencies, including proceedings under Chapter 15 of the Bankruptcy Code and regarding state court insolvency proceedings, including assignments for the benefit of creditors and receiverships.
  • Collaborate with other members of the Legal Department, including Litigation, Credit Trading and Line of Business Legal, in connection with all of the above.
  • Manage external counsel as required.

 Required Qualifications, Capabilities and Skills: 

  • Licensed attorney with at least 10 years of legal experience.
  • Excellent verbal and written communication skills.
  • Experience advising banks and other types of lending institutions in this practice area.
  • Ability to work autonomously while being a collegial team player who brings a positive attitude to the workplace and works collaboratively with other members of the Legal team and with internal clients.
  • The ability to pivot between priorities and have the perseverance and patience to see a matter through to completion.
  • All candidates for roles in the Legal department must successfully complete a conflicts of interest clearance review prior to commencement of employment.
