About this Role (Responsibilities)

We are seeking a commercially focused Legal Counsel to join our in house legal team at Deciphex,

Reporting to the Lead Commercial Counsel, you will cover multiple jurisdictions (UK/Ireland/USA. Canada)

You will be our day to day legal partner to our commercial and procurement teams, supporting our products and services including Patholytix and Diagnexia. 

  • Your focus is unlocking deals and enabling revenue with speed and accuracy, while keeping clear legal guardrails in place. 
  • You'll get real satisfaction from helping commercial teams move from interest to signed agreements, without compromising quality or judgement.
  • You will operate across time zones and jurisdictions, including the UK, US, Canada, and Japan, partnering with subject matter experts when decisions require clinical or operational alignment.
  • Draft, review and negotiate a high volume of commercial contracts (collaborating with internal and external stakeholders across jurisdictions)  including master services agreements, SaaS agreements, software license agreements, contractor services agreements, NDA’s and supplier agreements. 
  • Develop, update and standardize contract precedents as necessary
  • Support the structuring, drafting and ongoing maintenance of intercompany agreements between various Deciphex entities.
  • Play a key role in the management, organisation and improvement of the company’s customer and supplier contracts, including being a key stakeholder in the roll out of a new contract management system in Q1 and Q2. 
  • Provide practical, accurate and commercially focused legal advice regarding various legal issues including corporate and commercial matters, company secretarial and governance, regulatory, privacy and IP matters. 
  • You will engage with external stakeholders (e.g. customer legal teams, procurement teams, lab managers, and clinical leads, to explain and negotiate contract positions in a clear, commercially grounded way. 
  • Monitor and keep abreast of legal developments and legislative changes that may impact business and company goals and proactively advise on potential impacts. 

Education and Qualifications 

  • A third level degree in Law or equivalent. (mandatory)
  • Professionally qualified lawyer - Qualified to practice law in the UK and/or Ireland (Mandatory) 
  • 2  years' PQE in the UK and/or Ireland (Essential). Your most recent experience will be  in an in-house legal team. 
  • Experience working with commercial (sales) contacts of varying complexity 
  • Experience in the US is desirable but not essential, although all relevant applications will be considered).

About You (Skills and Experience required)

  • Strong, hands on experience drafting, negotiating and closing a high volume of commercial contracts (essential given the roles focus supporting commercial sales teams) 
  • Highly ideal if you've worked in-house in a med technology, SaaS, technology or similarly regulated environment
  • Practical working knowledge of AI, software, compliance, data privacy and IP, applied in a commercial, business focused way
  • Comfortable working cross functionally and across time zones, influencing stakeholders at all levels through clear, confident communication
  • Familiarity with using generative AI tools within a legal function to maximise efficiencies and productivity.

  • Builds rapport quickly, earns trust with internal teams, and negotiates firmly and constructively with external stakeholders

Highly Desirable

  • Experience working within life sciences sectors such as biotechnology, pharmaceuticals, medical devices, diagnostics, pathology, laboratory services, oncology, academic medical centres and/or wider clinical services.
  • Experience with digital health solutions and health-related software platforms, ideally including (but not limited to) Digital Pathology and other data-driven clinical tools.
  • Familiarity with healthcare and life sciences services and delivery models in the UK/Republic of Ireland, including interaction with public and private sector stakeholders.
  • Familiarity with applicable clinical, regulatory and industry guidelines governing life sciences, healthcare, medical devices, diagnostics and related data use.
