Our client, an innovative publicly traded cloud infrastructure and AI compute company in an exciting stage of growth, has exclusively retained Solutus Legal Search to assist in its search for a Senior Commercial Counsel. Reporting to the Associate General Counsel, this attorney will serve as a key legal partner to the company’s sales organization, negotiating sophisticated commercial agreements and helping build a scalable go-to-market legal function.

This is a high-impact role within a small, dynamic legal team at the forefront of cloud computing and artificial intelligence. The attorney will work closely with sales leadership and senior stakeholders across the business on complex transactions while helping develop the processes and tools needed to support continued growth.

Responsibilities

  • Serve as lead commercial counsel for the Go-to-Market team, structuring, negotiating, and closing complex enterprise, strategic, and partnership agreements involving AI services, PaaS, SaaS, and IaaS.
  • Act as a practical, solutions-oriented advisor to Sales and other business stakeholders, providing business-focused guidance on risk allocation and legal and regulatory requirements.
  • Build and improve commercial legal infrastructure, including templates, playbooks, risk frameworks, AI-enabled processes, contract lifecycle management, and other tools that support an efficient and scalable GTM function.
  • Partner with Finance, Sales, and Operations on Quote-to-Cash processes, automation, and legal tooling improvements.
  • Advise on marketing and communications and related legal, regulatory, reputational, contractual, and privacy risks.
  • Lead or participate in special projects and other high-priority initiatives with the Associate General Counsel, General Counsel, and cross-functional leaders.

Qualifications

  • Approximately 8+ years of legal experience, including significant in-house experience handling complex commercial transactions in the technology sector.
  • Proven experience structuring and negotiating sophisticated enterprise and partnership agreements, ideally involving enterprise software, cloud services, SaaS, PaaS, IaaS, or AI offerings.
  • Experience building and scaling commercial legal processes and infrastructure, including templates, playbooks, CLM systems, and legal operations workflows.
  • Strong business judgment and negotiation skills, with the ability to assess legal and commercial risk and translate complex issues into practical advice.
  • Demonstrated ability to partner effectively with Sales/GTM and other cross-functional stakeholders and senior leadership.
  • Proactive, collaborative, low-ego approach and comfort taking substantial ownership in a fast-paced environment.
  • Familiarity with AI-related regulatory trends, marketing and advertising law, or other emerging technology issues is a plus.
  • J.D. from an accredited law school and active bar admission in at least one U.S. state.

This is an excellent opportunity to join a sophisticated legal team, work on business-critical transactions, and help shape the commercial legal infrastructure supporting a rapidly growing cloud and AI business.

This position is fully remote within the United States. Compensation is expected to range from $225,000 to $255,000 in base salary, plus annual cash bonus and equity, commensurate with experience and qualifications.

What you need to know about the Seattle Tech Scene

Home to tech titans like Microsoft and Amazon, Seattle punches far above its weight in innovation. But its surrounding mountains, sprinkled with world-famous hiking trails and climbing routes, make the city a destination for outdoorsy types as well. Established as a logging town before shifting to shipbuilding and logistics, the Emerald City is now known for its contributions to aerospace, software, biotech and cloud computing. And its status as a thriving tech ecosystem is attracting out-of-town companies looking to establish new tech and engineering hubs.

Key Facts About Seattle Tech

  • Number of Tech Workers: 287,000; 13% of overall workforce (2024 CompTIA survey)
  • Major Tech Employers: Amazon, Microsoft, Meta, Google
  • Key Industries: Artificial intelligence, cloud computing, software, biotechnology, game development
  • Funding Landscape: $3.1 billion in venture capital funding in 2024 (Pitchbook)
  • Notable Investors: Madrona, Fuse, Tola, Maveron
  • Research Centers and Universities: University of Washington, Seattle University, Seattle Pacific University, Allen Institute for Brain Science, Bill & Melinda Gates Foundation, Seattle Children’s Research Institute
