Commercial Transactions Attorney

LOCATION: United States, EST Preferred

REPORTS TO: SVP, Legal & Compliance

HOURLY RATE: $55-$65/hourly

SCHEDULE: Monday–Friday, 20 hours/week (4 fixed hours daily during core business hours; exact schedule to be agreed upon)

The Part-Time Contracts Attorney will support the legal department in managing a wide range of contractual matters across the organization, with a specialized focus on service oriented government contracts and grants. The ideal candidate will be an agile legal counsel with the ability to rapidly master complex agreements and bring strong legal experience, particularly in drafting and negotiating within government-regulated settings.

• Draft, review, and negotiate complex agreements, including government contracts, commercial leases, service agreements, MOUs, data sharing agreements and other commercial contracts.
• Ensure all contracts align with organizational policies, risk tolerance, and strategic goals.
• Identify legal and regulatory risks and develop practical mitigation strategies
• Contribute to the development and review of internal contract templates, policy documents, and contract management procedures.
• Work in close collaboration with teams across the organization on multidisciplinary and cross-departmental projects and initiatives.

• Advise internal stakeholders on legal risks, flow-down clauses, and compliance obligations associated with government contracts.
• Conduct comprehensive research and analysis on diverse substantive and procedural issues.
• Collaborate with internal teams (Program, IT, Fiscal) to integrate contract compliance into core processes.
• Support other legal or compliance-related projects assigned by the SVP

• Juris Doctor (JD) from an accredited law school.
• Active bar admission in any U.S. jurisdiction, in good standing.

• Minimum of 5 years of relevant experience across Government service contracts as well as general commercial transactions, as in-house counsel, or in government.
• Specific expertise and demonstrated experience in government contracts and procurement.
• Extensive demonstrable experience in contract drafting and negotiation.
• Experience supporting in-house legal functions or advising nonprofit, education, or government-sector clients is highly preferred.

• Tech savvy and able to adapt quickly to new software and legal technology tools.
• Strong legal writing, analysis, and communication skills.
• Strong legal research and contractual/statutory interpretation abilities.
• Highly organized, business-minded, detail-oriented, and capable of managing competing priorities under strict deadlines.
• Collaborative mindset with the ability to work across legal and non-legal teams.
• Excellent drafting, negotiation, analytical, and communication skills, with the ability to convey complex contractual and regulatory issues clearly to business stakeholders.
• Excellent working knowledge of Google Workspace, Adobe, and the MS Office Suite.
