Job Description

We’re looking for a commercially minded SVP of Legal to lead Nearmap’s global legal function as we scale the business across ANZ, North America, and Europe. Reporting to the CFO, you’ll act as a trusted advisor to the executive team and board on the full range of legal risk, from commercial contracting and M&A to governance, compliance, and disputes. You’ll own global commercial contract strategy end to end, negotiating and closing SaaS subscription agreements, enterprise licensing deals, channel and reseller arrangements, and data processing agreements across multiple jurisdictions, while building and leading a high-performing in-house legal team. If you thrive at the intersection of law and commercial strategy in a fast-moving, private equity-backed technology business, this is the role for you.

  • Lead and scale Nearmap’s global legal function across ANZ, North America, and Europe, setting legal strategy in lockstep with business priorities. Act as chief legal advisor to the CFO, CEO, and executive leadership team on legal risk, regulatory exposure, and strategic decision-making

  • Build, mentor, and lead a high-performing in-house legal team defining and delivering on clear internal SLAs. Work closely with regional VPs to scale capability in line with the business, implementing the foundations for a best-in-class legal function

  • Own global commercial contracting end to end, maintaining Nearmap’s global MSA, drafting and negotiating SaaS subscription agreements, enterprise licensing deals, channel and reseller agreements, data processing agreements, and vendor and procurement contracts across multiple jurisdictions

  • Proactive development and maintenance of Nearmap IP portfolio, managing technical filings, and supervising the review and filing of patents across new and existing product lines.

  • Partner closely with GTM and revenue operations to accelerate deal cycles and structure commercial terms that protect margin and manage risk without slowing the business down

  • Lead legal workstreams for M&A and strategic transactions, including due diligence, deal structuring, negotiation, and post-close integration

  • Assist with corporate governance and board matters, and support the company secretarial function

  • Own data privacy and security compliance across jurisdictions (including GDPR, CCPA, and the Australian Privacy Act) and manage Nearmap’s intellectual property portfolio

  • Manage global outside counsel relationships and legal spend, ensuring the right expertise is engaged efficiently across jurisdictions

  • Monitor regulatory developments across operating jurisdictions and advise the business on emerging legal and compliance risk

  • Manage litigation, disputes, and risk mitigation strategies, engaging outside counsel where needed

  • Advise on employment law matters across multiple countries in partnership with the People team

Qualifications

  • Law degree and current admission to practice in Australia, the United States, or another relevant jurisdiction

  • Demonstrated people leadership experience building and scaling in-house legal teams, with a true player-coach mentality — equally comfortable setting strategy and big-picture direction as rolling up their sleeves to work in the details alongside the team, and stepping in to pick up the slack when needed

  • 15+ years of legal experience, including significant time in a senior in-house legal leadership role at a Technology or subscription company

  • Proven track record negotiating and closing global commercial contracts across multiple jurisdictions, including SaaS/subscription agreements, enterprise licensing, and channel or partner deals

  • Experience advising C-suite executives and boards on legal risk and strategic decision-making

  • Strong M&A experience, from due diligence through integration

  • Working knowledge of data privacy and security regulations across multiple jurisdictions (GDPR, CCPA, Australian Privacy Act, or similar)

  • Excellent negotiation, communication, and stakeholder management skills, with the ability to translate legal complexity into clear commercial guidance

  • Stellar business judgment with the ability to balance legal risk against commercial pragmatism in a fast-growth environment

  • Comfortable operating with autonomy and pace in a dynamic, high-growth SaaS business

Preferred Qualifications:

  • Experience in geospatial, imagery, mapping, or B2B SaaS platform companies

  • Company secretarial or governance experience supporting a private equity-backed or investor-owned company

  • Experience operating across ANZ and US legal, regulatory, and corporate governance frameworks simultaneously

What you need to know about the Seattle Tech Scene

Home to tech titans like Microsoft and Amazon, Seattle punches far above its weight in innovation. But its surrounding mountains, sprinkled with world-famous hiking trails and climbing routes, make the city a destination for outdoorsy types as well. Established as a logging town before shifting to shipbuilding and logistics, the Emerald City is now known for its contributions to aerospace, software, biotech and cloud computing. And its status as a thriving tech ecosystem is attracting out-of-town companies looking to establish new tech and engineering hubs.

Key Facts About Seattle Tech

  • Number of Tech Workers: 287,000; 13% of overall workforce (2024 CompTIA survey)
  • Major Tech Employers: Amazon, Microsoft, Meta, Google
  • Key Industries: Artificial intelligence, cloud computing, software, biotechnology, game development
  • Funding Landscape: $3.1 billion in venture capital funding in 2024 (Pitchbook)
  • Notable Investors: Madrona, Fuse, Tola, Maveron
  • Research Centers and Universities: University of Washington, Seattle University, Seattle Pacific University, Allen Institute for Brain Science, Bill & Melinda Gates Foundation, Seattle Children’s Research Institute
