As a Transaction Advisory Services Manager working with the external deal team members and internal tax, audit and client advisory teams, you’ll work directly with clients on merger and acquisition (M&A) lifecycle-from initial planning to post-sale wealth strategy, while helping shape a growing advisory practice. You’ll have the opportunity to make an immediate impact, contribute ideas, and use evolving technology and AI-enabled tools to spend less time assembling data and more time analyzing it and advising clients.

You’ll turn large volumes of financial data into clear insights and recommendations, manage multiple engagements, and provide leadership to the professionals supporting your clients. You’ll also collaborate closely with colleagues across audit and tax on transaction advisory engagements and help clients navigate important business decisions with strong GAAP knowledge, financial analysis, project management, and sound judgment.

  • Apply US GAAP (and, where relevant, IFRS) to evaluate target financials, identify accounting policy differences, and assess the quality and sustainability of reported earnings
  • Exercise strong judgment across diverse industries and deal structures, tailoring diligence scope and procedures to deal size, complexity, timeline, and client objectives
  • Direct quality of earnings workstreams, including EBITDA and adjusted EBITDA bridges, proof of cash, revenue and margin analyses, and normalization adjustments; review and approve diligence reports, databooks, and management presentations before client delivery
  • Analyze net working capital, net debt and debt-like items, and cash flow conversion to support purchase price negotiations, peg mechanisms, and SPA/APA terms, including review of closing statements and purchase price adjustments
  • Evaluate historical results, trends, and budget and forecast assumptions for target companies; assess the reasonableness of projections and synergy cases to inform valuation, deal structuring, and investment decisions
  • Identify key deal risks and value drivers, including accounting, tax, and compliance exposures, internal control weaknesses, and off-balance-sheet liabilities; communicate findings and recommendations to deal teams, investment committees, and senior stakeholders
  • Support integration and separation planning, including Day 1 readiness, opening balance sheet and purchase accounting considerations, and financial close and reporting process design
  • Manage engagement economics and workplan, including scoping, staffing, budgets, and timelines; coach and develop senior associates and staff; and build client relationships to drive repeat business and pursuit support (proposals, credentials, and pitch meetings)
  • Serve as liaison with external deal team members and provide reliable communication to keep all internal and external stakeholders informed on status to manage expectations and deadlines.
  • Oversee and manage engagement discovery, planning, staffing, budgets, timelines, and deliverables to ensure successful outcomes across multiple concurrent clients.
  • Provide leadership to remote and hybrid teams, including coaching, feedback, workload review, and performance evaluations.
  • Lead onboarding of new clients, support system implementation, and continuously improve financial processes and operational efficiency.

And its status as a thriving tech ecosystem is attracting out-of-town companies looking to establish new tech and engineering hubs.

Key Facts About Seattle Tech

  • Number of Tech Workers: 287,000; 13% of overall workforce (2024 CompTIA survey)
  • Major Tech Employers: Amazon, Microsoft, Meta, Google
  • Key Industries: Artificial intelligence, cloud computing, software, biotechnology, game development
  • Funding Landscape: $3.1 billion in venture capital funding in 2024 (Pitchbook)
  • Notable Investors: Madrona, Fuse, Tola, Maveron
  • Research Centers and Universities: University of Washington, Seattle University, Seattle Pacific University, Allen Institute for Brain Science, Bill & Melinda Gates Foundation, Seattle Children’s Research Institute
